Overview<\/strong><\/h3>

By accessing, registering, or using any part of the NexaTMS platform, users agree to comply fully with the following Terms and Conditions. These terms establish the rights, obligations, and responsibilities of all registered users, employees, contractors, and affiliates who interact with NexaTMS systems and services, whether through web portals, mobile interfaces, or API integrations.<\/p>

These Terms constitute a binding legal agreement between the user and Rayford Holdings Inc.<\/strong>, the legal entity operating under the trade name NexaTMS<\/strong> and its technical division PrimeTrix Solutions<\/strong>.<\/p>

1. Eligibility & Authorization<\/strong><\/h3>

  • All users must be 18 years of age or older<\/strong> and legally permitted to work or contract in the logistics, transportation, or technology sectors.<\/p><\/li>

  • Corporate users must represent a legitimate business entity (e.g., carrier, brokerage, or service vendor) and provide accurate registration credentials.<\/p><\/li>

  • Users must possess all required licenses, permits, and operational authority for their professional activities.<\/p><\/li><\/ul>

    2. Account Responsibilities<\/strong><\/h3>

    • Users are fully responsible for maintaining the confidentiality of their account credentials<\/strong>, including passwords, access tokens, and authentication keys.<\/p><\/li>

    • Rayford Holdings Inc. will never request passwords or sensitive authentication data outside its secure platform.<\/p><\/li>

    • Users must ensure that all submitted information \u2014 such as legal name, business name, insurance, and tax identifiers \u2014 is accurate, up to date, and verifiable<\/strong>.<\/p><\/li>

    • Sharing of accounts, impersonation, or unauthorized access is strictly prohibited and may result in account termination.<\/p><\/li><\/ul>

      3. Permitted Use<\/strong><\/h3>

      • The NexaTMS platform is to be used exclusively for lawful freight management, dispatch coordination, and related logistics operations<\/strong>.<\/p><\/li>

      • Use of the platform to engage in fraudulent transactions, illegal transport, unlicensed brokerage, or data manipulation will result in immediate suspension.<\/p><\/li>

      • Users may not employ automation scripts, data scraping tools, or reverse-engineering attempts without prior written authorization.<\/p><\/li>

      • Any misuse of the system that disrupts operations, affects security, or violates applicable laws will be reported to relevant authorities.<\/p><\/li><\/ul>

        4. Subscriptions, Fees & Payments<\/strong><\/h3>

        • Certain modules or services within NexaTMS may require subscription fees or API usage charges.<\/p><\/li>

        • All payments are non-refundable<\/strong>, except where explicitly stated in a written agreement.<\/p><\/li>

        • Users are responsible for maintaining valid billing information at all times.<\/p><\/li>

        • Failure to complete payment or charge disputes may result in account suspension or legal collection procedures.<\/p><\/li><\/ul>

          5. Ownership & Intellectual Property<\/strong><\/h3>

          • All source code, UI design, documentation, graphics, trademarks, and databases associated with NexaTMS remain the exclusive intellectual property of Rayford Holdings Inc.<\/strong><\/p><\/li>

          • Users are granted a limited, non-transferable license to access and use the platform strictly for operational purposes.<\/p><\/li>

          • Copying, redistribution, resale, or modification of NexaTMS software, branding, or proprietary assets without authorization is strictly prohibited.<\/p><\/li><\/ul>

            6. Service Availability & Liability<\/strong><\/h3>

            • While NexaTMS strives to maintain continuous system uptime<\/strong>, occasional interruptions may occur due to maintenance, network issues, or third-party failures.<\/p><\/li>

            • Rayford Holdings Inc. is not liable for any direct, indirect, or consequential losses<\/strong> arising from downtime, data loss, or external system errors.<\/p><\/li>

            • Users are advised to maintain their own data backups and comply with their organization\u2019s data continuity procedures.<\/p><\/li><\/ul>

              7. Account Suspension & Termination<\/strong><\/h3>

              • Rayford Holdings reserves the right to suspend or terminate accounts involved in fraudulent activity, breach of terms, or misuse of resources.<\/p><\/li>

              • In cases of serious violations, legal action may be pursued under Illinois jurisdiction.<\/p><\/li>

              • Upon termination, all data associated with the account may be deleted unless retention is required by law or compliance protocols.<\/p><\/li><\/ul>

                8. Modification of Terms<\/strong><\/h3>

                • Rayford Holdings Inc. may modify these Terms at any time, with updates posted within the platform or official communications.<\/p><\/li>

                • Continued use of NexaTMS after any update constitutes acceptance of revised terms.<\/p><\/li><\/ul>

                  9. Jurisdiction & Governing Law<\/strong><\/h3>

                  • These Terms are governed by and construed under the laws of the State of Illinois, United States of America<\/strong>.<\/p><\/li>

                  • Any disputes arising from this agreement shall be handled in the courts of McLean County, Illinois.<\/p><\/li><\/ul>

                    10. Division & Trademark Notice<\/strong><\/h3>

                    • NexaTMS<\/strong> and PrimeTrix Solutions<\/strong> operate as divisions under Rayford Holdings Inc.<\/strong><\/p><\/li>

                    • All logos, marks, and brand names are protected under U.S. and international trademark law.<\/p><\/li>
